1. Acceptance of Terms
By accessing and using the Tourney platform ("Platform"), you accept and agree to be bound by these Terms of Use ("Terms"). The Platform is provided by Tourney ("we," "us," or "our"). If you do not agree to these Terms, you may not use the Platform.
These Terms apply to all users of the Platform, including event organizers, club administrators, and any other individuals or entities that access or use the Platform.
2. Description of Service
Tourney provides a software-as-a-service platform for organizing, managing, and promoting sports tournaments, events, club memberships, and related activities. Our services include:
- Event creation, management, and customization
- Online registration and ticketing
- Payment processing via Stripe Connect
- Tournament bracket generation and management
- Club and membership management
- Workshop and class scheduling
- Custom event registration websites
- Email communications and notifications
- Reporting and analytics
3. User Accounts and Organizations
To use the Platform, you must create an account and may create or join an organization. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account and organization information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account or organization
- Notify us immediately if you suspect unauthorized access
Organization administrators are responsible for managing member roles and permissions within their organization. You must have the authority to bind the organization you represent.
4. Payments, Fees, and Payouts
The Platform uses Stripe Connect to process payments from event attendees and distribute payouts to organizers.
- Tourney may charge platform fees on transactions processed through the Platform. Fee structures will be communicated to you and may be updated with reasonable notice
- Payouts are processed by Stripe according to your Stripe Connect account settings and Stripe's terms of service
- You are responsible for setting accurate pricing for your events, registrations, and memberships
- Refund policies for your events are your responsibility. You must clearly communicate your refund policies to attendees
- Tourney is not responsible for disputes between organizers and attendees regarding refunds, and reserves the right to process refunds in cases of fraud or policy violations
5. Tax Obligations
You are solely responsible for determining, collecting, reporting, and remitting all applicable taxes related to your use of the Platform and any transactions conducted through it.
This includes, but is not limited to:
- Income taxes: all revenue you receive through the Platform, including event registration fees, ticket sales, membership dues, and any other payments, constitutes taxable income. You are responsible for reporting this income to the relevant tax authorities in your jurisdiction
- Sales tax, VAT, and GST: you are responsible for determining whether sales tax, value-added tax (VAT), goods and services tax (GST), or other transaction-based taxes apply to your sales, and for collecting and remitting such taxes as required by applicable law
- Tax registration: you are responsible for obtaining any necessary tax identification numbers, registrations, or permits required in your jurisdiction to conduct the activities you perform using the Platform
- Tax filings and documentation: you are responsible for maintaining accurate financial records and filing all required tax returns and reports with the appropriate authorities
- Withholding obligations: if you engage contractors or employees through activities facilitated by the Platform, you are responsible for all applicable withholding, payroll tax, and reporting obligations
Tourney does not provide tax advice and makes no representations regarding the tax implications of your use of the Platform. We strongly recommend consulting with a qualified tax professional to understand your specific tax obligations. Tourney shall not be liable for any taxes, penalties, interest, or other costs arising from your failure to comply with applicable tax laws.
Tourney may be required to report certain payment information to tax authorities (e.g., IRS Form 1099-K in the United States) as required by law. You agree to provide any information we reasonably request to fulfill our reporting obligations.
6. Organizer Responsibilities
As an event organizer using the Platform, you agree to:
- Comply with all applicable laws, regulations, and industry standards in your jurisdiction, including consumer protection, data protection, and event safety regulations
- Provide accurate and truthful event information, including dates, locations, pricing, and descriptions
- Fulfill your obligations to event attendees, including delivering the events and services as described
- Maintain appropriate insurance coverage for your events and activities
- Obtain all necessary permits, licenses, and venue agreements for your events
- Handle attendee personal data in compliance with applicable privacy laws (see our Privacy Policy for data controller/processor responsibilities)
- Respond promptly to attendee inquiries, complaints, and refund requests
7. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of applicable laws
- Create events that are fraudulent, deceptive, or misleading
- Infringe upon the intellectual property rights of others
- Transmit harmful code, malware, or attempt to compromise Platform security
- Interfere with or disrupt the Platform or servers and networks connected to the Platform
- Attempt to gain unauthorized access to any part of the Platform, other accounts, or systems
- Use the Platform to promote hate speech, violence, discrimination, or illegal activities
- Resell, sublicense, or redistribute Platform access without our written consent
8. Content Ownership and License
You retain ownership of all content you create or upload to the Platform, including event descriptions, images, branding assets, and other materials ("Your Content"). By using the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute Your Content solely as necessary to provide the Platform services, including displaying Your Content on your event registration sites.
The Platform itself, including its design, features, functionality, documentation, and all related intellectual property, is owned by Tourney and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works from the Platform.
9. Custom Domains and Event Sites
The Platform may allow you to configure custom domains for your event registration sites. You are responsible for ensuring you have the rights to use any domain names you configure. Tourney is not responsible for domain registration, renewal, or DNS management beyond what is provided through the Platform.
10. Termination
We reserve the right to suspend or terminate your account and access to the Platform at any time for violation of these Terms, fraudulent activity, non-payment, or for any other reason with reasonable notice. You may terminate your account at any time by contacting us.
Upon termination, your right to use the Platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes. Any outstanding financial obligations (fees, chargebacks, refunds) survive termination.
11. Disclaimers
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Platform will be uninterrupted, error-free, or free of harmful components. We do not guarantee any specific level of revenue, attendance, or success for events hosted on the Platform.
12. Limitation of Liability
To the maximum extent permitted by law, Tourney shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform, including but not limited to lost profits, lost revenue, lost data, business interruption, or damages arising from events you organize through the Platform.
Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees you paid to Tourney in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Tourney and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your events and interactions with attendees; (c) your violation of these Terms; (d) your violation of any applicable laws or regulations, including tax laws; or (e) your violation of any third-party rights.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last updated" date, and where appropriate, sending you an email notification. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
